Acceptance of these terms
These Terms of Service form a legally binding agreement between you and Crescent BioLabs (“Crescent BioLabs,” “we,” “us,” or “our”). They govern your access to crescentbiolabs.com and related pages, services, features, content, and every purchase of a product from us.
By clicking an agreement control, creating an account, completing a purchase, or using the site, you acknowledge that you have read and agree to these Terms and our Privacy Policy, Research Use Only Disclaimer, Shipping Policy, Return & Refund Policy, Acceptable Use Policy, and Cookie Policy. If you do not agree, do not use the site.
Eligibility
To access restricted portions of the site or purchase a product, you represent and warrant that:
- you are at least 21 years old, or the age of majority in your jurisdiction if higher, and can enter a binding agreement;
- you are purchasing for delivery to a serviceable address in the United States;
- you are not in a jurisdiction where the purchase, possession, or use of the product is prohibited or subject to a government denied-party restriction;
- you are a qualified researcher or affiliated with a laboratory, academic institution, university, or research-based facility engaged in lawful in-vitro investigation;
- you are purchasing solely for laboratory research, not resale, repackaging, relabeling, or administration to a human or animal; and
- all information you provide is accurate, current, and complete.
We may refuse service, suspend an account, or cancel an order when we reasonably believe these representations are inaccurate or the transaction presents legal, safety, or fraud risk.

They are not drugs, dietary supplements, foods, cosmetics, or medical devices; they are not FDA-approved to diagnose, treat, cure, prevent, or mitigate disease; and they are not for human or animal consumption under any circumstances.

Product descriptions; no therapeutic claims
We work to describe products accurately, including chemical identity, mass, purity, sequence where applicable, storage information, and batch analysis. We do not warrant that descriptions, specifications, images, certificates, prices, or availability are complete, current, or error-free, and we may correct errors without prior notice.
Nothing on the site is a therapeutic, medical, diagnostic, dosing, or efficacy claim. Structural, functional, or mechanistic descriptions characterize research materials only and do not claim effects in humans or animals.
Orders, pricing, payment, and taxes
Orders
An order submission is an offer to purchase and is not accepted until we send shipment confirmation or ship the product. We may refuse, limit, modify, or cancel an order for suspected fraud, incomplete information, policy violations, failed researcher screening, inventory issues, pricing errors, or indications of non-research use.
Pricing and payment
Prices are in U.S. dollars and may change without notice. Payment is handled by the provider shown at checkout. By submitting payment details, you confirm you are authorized to use that method and authorize the total charge, including shipping and tax.
Taxes
You are responsible for applicable sales, use, excise, value-added, or similar taxes, other than taxes on our net income.
Shipping and risk of loss
Shipping terms, service areas, reporting windows, and carrier procedures are described in our Shipping Policy. Unless required otherwise by applicable law or agreed in writing, title and risk of loss pass when the order is tendered to the carrier.
Returns, refunds, and cancellations
Orders may be canceled before carrier handoff as described in our Return & Refund Policy. Once an order is tendered to the carrier, all sales are final because chain of custody, storage, and contamination controls can no longer be verified.
Chargebacks and payment disputes
If you believe an order is wrong, lost, damaged, duplicated, or unauthorized, contact us first at support@crescentbiolabs.com and allow a reasonable opportunity to investigate. Knowingly filing a false dispute, disputing a delivered order in bad faith, or using the chargeback process to evade the Return & Refund Policy is a material breach.
We may respond to abusive disputes by suspending accounts, refusing future transactions, submitting delivery and communication records to the processor, and pursuing lawful collection remedies.
Researcher affiliation warranty
You warrant that you are a qualified professional or affiliated with an organization lawfully engaged in in-vitro research. We may conduct reasonable due diligence, request documentation, review public registries, or contact the organization identified in your application. Fulfillment may be delayed or refused while screening is incomplete.
A false affiliation, qualification, or intended-use statement is a material breach and may result in cancellation, account termination, and future refusal of service.
Regulatory compliance
You are responsible for compliance with laws and standards applicable to purchase, possession, handling, storage, use, transport, and disposal, including applicable provisions of the Federal Food, Drug, and Cosmetic Act, Toxic Substances Control Act, Controlled Substances Act, laboratory-safety rules, sanctions, and export controls.
You are solely responsible for hazard assessment, facility controls, personnel training, and lawful disposal. The absence of preparation or safety guidance is not a representation that a product is safe or suitable for any use.
Prohibited product uses
You must not:
- use, ingest, inject, inhale, apply, or administer a product to a human or animal;
- resell, redistribute, rebrand, repackage, relabel, or divert a product;
- prepare, compound, or formulate a product for administration to a living organism;
- make therapeutic, medical, diagnostic, or efficacy claims about a product;
- remove or obscure a label, lot number, or identifier; or
- use a product or the site in violation of law or our Acceptable Use Policy.
Account registration and security
Restricted features require a Crescent BioLabs account provided through Clerk. You are responsible for credential security and activity under your account, and must notify us promptly of unauthorized access.
You may not create duplicate accounts, share credentials, or transfer an account. We may suspend or terminate access for policy violations, fraud, safety concerns, or legal risk.
Intellectual property
The site and its text, graphics, marks, images, product descriptions, certificates, software, and arrangement are owned by Crescent BioLabs or its licensors and protected by intellectual-property law.
We grant a limited, non-exclusive, non-transferable, revocable license to view site content for product evaluation and lawful research planning. You may not reproduce, publish, distribute, sell, train a model on, or exploit site content without written permission, other than ordinary browser caching and a personal reference copy.
User-generated content
If you submit reviews, comments, questions, images, or other content, you grant us a worldwide, royalty-free, sublicensable license to use, reproduce, adapt, publish, and display it for lawful business purposes.
You confirm you have the necessary rights, that the submission does not violate law or third-party rights, and that it contains no prohibited therapeutic or efficacy claim. We may moderate or remove submissions at our discretion.
Third-party links and services
The site may link to or integrate services for authentication, hosting, payment, communications, fraud prevention, fulfillment, analytics, or advertising. We do not control third-party services; your use of them is subject to their own terms and privacy practices.
Disclaimer of warranties
To the fullest extent permitted by law, the site, content, and products are provided “as is” and “as available,” with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, or a warranty arising from course of dealing.
We do not warrant that a product is safe, effective, fit for a clinical or consumer purpose, or that the site will always be uninterrupted, secure, or error-free. Rights that cannot lawfully be waived remain unaffected.
Limitation of liability
To the fullest extent permitted by law, Crescent BioLabs and its personnel, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, use, goodwill, or opportunity, arising from the site, a product, or these Terms.
Our aggregate liability for a claim is limited to the greater of the amount you paid for the specific product giving rise to the claim in the preceding 12 months or $100, except where applicable law prohibits that limitation.
Indemnification
You agree to defend, indemnify, and hold harmless Crescent BioLabs and its personnel, suppliers, licensors, and service providers from claims, damages, penalties, losses, and reasonable costs arising from your:
- breach of these Terms or an incorporated policy;
- violation of law or a third-party right;
- handling, storage, use, disposal, transfer, or misuse of a product;
- administration of a product to any human or animal;
- user content; or
- misrepresentation of qualification, affiliation, or intended use.
Dispute resolution
Before filing a formal claim, each party agrees to send written notice describing the dispute and requested relief and to attempt good-faith informal resolution for at least 30 days. Notices to us may be sent to support@crescentbiolabs.com.
Where legally enforceable and after informal resolution fails, disputes may be resolved through individual binding arbitration under the applicable consumer or commercial rules of the American Arbitration Association. No term limits rights or remedies that applicable law makes non-waivable. The parties waive class or representative proceedings only to the extent enforceable.
Governing law and venue
These Terms are governed by the laws applicable to the Crescent BioLabs operating entity and the transaction, without overriding mandatory consumer protections. Any dispute not subject to enforceable arbitration must be brought in a court of competent jurisdiction.
Force majeure
We are not responsible for delay or failure caused by events beyond reasonable control, including natural disaster, severe weather, epidemic, war, civil disturbance, labor interruption, carrier disruption, cyberattack, utility or internet failure, government action, or supply shortage.
Assignment
You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, financing, sale of assets, or transfer of the business, subject to applicable law.
Severability, entire agreement, and waiver
If a provision is held unenforceable, it will be narrowed or removed only to the extent necessary and the remainder will continue. These Terms and incorporated policies are the entire agreement on their subject. Headings are for convenience. A failure to enforce a provision is not a waiver.
Modifications
We may update these Terms by posting a revised version with a new effective date. Material changes may receive additional notice where required. Continued use after the effective date constitutes acceptance, except where applicable law requires express consent.
Termination
We may suspend or terminate site access, accounts, orders, or service for breach, suspected fraud, regulatory risk, safety concerns, or misuse. Provisions that by their nature should survive termination—including intellectual property, disclaimers, liability limits, indemnity, and dispute terms—will survive.
